Associate Senior Manager, Legal & Compliance

Job Summary

The role is responsible for managing the legal function by providing comprehensive legal support and advice on legal, regulatory, and compliance matters to the GSC Group of companies. This includes addressing legal matters, operational, contractual, commercial, corporate, and compliance issues related to the Group. The position involves matrix reporting to PPB Group Berhad’s (“PPB”) Group Head of Legal & Corporate Secretarial, requiring strong communication and coordination skills. The Compliance Manager ensures that GSC and its subsidiaries adhere to legal standards and internal policies, including those of PPB Group, enforces regulations across all business levels, and provides guidance on compliance matters.


Job Description

Legal & Compliance

  1. Rendering legal advice support, and guidance not limited to general legal advice on best practices for compliance, input on business decisions, contract negotiations, legal strategies for litigation and other legal activities.
  2. Preparing, drafting and/or vetting documents related to the company’s business activities, e.g. contracts or agreements and legal documentation and statements as well as ensuring that the agreements are enforceable and in line with the company’s best interests.
  3. Conducting legal research based on the company’s specific issues in order to provide accurate and timely advice as well as determining applications of relevant/specific laws and legislations.
  4. Ensuring compliance of laws and guidelines by providing appropriate legal guidance and advice, anticipating changes on laws and codes that the company may not be aware of and initiating actions to ensure that the company does not violate these laws.
  5. Act as business partner vis a vis peers and management both within the legal function and other areas of the BU and the broader Company, providing legal advice and support, anticipating, and managing legal risks associated with the business strategy and operations.
  6. Conduct investigations, including allegations of fraud, corruption, and non-compliance of PPB Group’s compliance-related policies, including managing a crisis or compliance violation.

Training and Awareness Programs

  1. Maintain an effective education program through continuous communication and training to ensure employees understand their roles and responsibilities in compliance efforts, and to foster a culture of compliance and ethics throughout GSC and its subsidiaries.
  2. Train or collaborate with the relevant internal stakeholders to educate the employees on regulations and industry specific practices.

Reporting and Monitoring

  1. Collate reports from subsidiaries, review and assess any issues, and provide timely and accurate reporting and/ or escalation of compliance-related matters, including regular reporting to GSC Senior Management and Board of Directors, and PPB Group Head of Legal & Corporate Secretarial.
  2. Immediately or as soon as possible inform Senior Management and Board of Directors, and PPB Group Head of Legal & Corporate Secretarial of any raids or investigation by the authorities.
  3. Provide support and assurance on compliance reviews and on the implementation of remedial actions for any violation/ non-compliance to the Group compliance-related policies.

 

Requirements

  1. Education Background - Bachelor's degree in law, legal or related field
  2. Minimum 10 years of experience in legal / compliance / integrity / risk / audit.
  3. Preferably from industry related to GSC: Entertainment / Retail / Services. Candidates from highly regulated industry such as Financial Industry are also acceptable.
  4. Excellent understanding of contract, and corporate laws
